SALONCENTRIC PROREWARDS TERMS & CONDITIONS 

 

THESE SALONCENTRIC PROREWARDS TERMS AND CONDITIONS ARE  
EFFECTIVE AS OF APRIL 1, 2024 

 

In accordance with these “Terms and Conditions”, the SalonCentric ProRewards (“Program”), operated by SalonCentric, Inc. (“SalonCentric,” “We,” “Our” or “Us”) is a loyalty program sponsored by SalonCentric through which individuals (“Members” or, individually, a “Member,” “You” or “Your”) will have the opportunity to earn rewards points by making purchases and by taking certain other actions through SalonCentric ProRewards (“Points”) and which automatically convert to ProRewards Dollars that can be redeemed on future purchases at SalonCentric. Purchases may be made in SalonCentric stores, on the website www.saloncentric.com (the “Website”) or in the SalonCentric mobile application (the “App”). Members may also have opportunities to earn Points through other methods as may be added from time to time. To participate, Members must enroll in the Program on the Website, through the App, with a SalonCentric Business Partner, through the Customer Experience Team or in a participating SalonCentric store.  SalonCentric Credit Cardmembers will be automatically enrolled in the Program when they open their SalonCentric Credit Card accounts.  The Program is open to legal residents of the fifty (50) United states and District of Columbia who are 18 years of age or the age of majority at the time of registration. Void where prohibited.  

 

By accessing, enrolling and/or participating in this Program, You agree to the following Terms and Conditions (“Terms”) that govern the Program and to all terms incorporated herein by reference. These Terms and Conditions do not alter in any way the terms or conditions of any other agreement You may have with SalonCentric, Inc. for other products or services.  

  
Participation in the Program is voluntary. You do not need to join to purchase products at SalonCentric and any personal information You provide to ProRewards will be subject to SalonCentric’s Privacy Policy.  

 

Membership in Program and its benefits are offered at the discretion of SalonCentric. SalonCentric may, at any time, terminate, change, limit, modify, or cancel Program or any rules, regulations, benefits, or conditions of participation by posting the modified rules on this page. Your continued participation in the Program after such posting will constitute Your acceptance. By enrolling in Program, You hereby agree to these Terms and Conditions, which may be updated from time to time by SalonCentric in its sole discretion and attest that You meet the eligibility requirements. Changes to Program or these Terms and Conditions will be communicated via email or on this web page. IF YOU DO NOT AGREE TO THESE TERMS AND TO THE PRIVACY POLICY, DO NOT ACCESS OR PARTICIPATE IN THE PROGRAM

 

THESE TERMS CONTAIN A MANDATORY ARBITRATION PROVISION THAT, AS SET FORTH IN THE SECTION ENTITLED “ARBITRATION AGREEMENT” BELOW, REQUIRES YOU TO ARBITRATE CLAIMS YOU MAY HAVE AGAINST SALONCENTRIC, INC. ON AN INDIVIDUAL BASIS, MEANING YOU CANNOT BRING CLAIMS AGAINST SALONCENTRIC, INC. IN COURT AND CONFIRMS YOUR AGREEMENT TO A CLASS ACTION WAIVER IN ARBITRATION.  IT AFFECTS YOUR LEGAL RIGHTS.  PLEASE READ IT CAREFULLY.  

  

Subject to the terms and conditions set forth below, members of the Program will earn Points in connection with qualifying net purchases and services at SalonCentric Stores, with “SalonCentric Business Partners”, through  the  “Customer Experience Team “, and on purchases of qualifying products on the Website or in the App. Points automatically convert to ProRewards Dollars that are redeemable toward the purchase of certain products and services at SalonCentric Stores and Website/App. ProRewards Dollars are not valid toward the purchase of “SalonCentric Online Exclusives”, formerly known as SalonCentric Marketplace.  

 

For SalonCentric Credit Cardmembers, these Program Terms and Conditions are separate from Your “SalonCentric Credit Card Account Agreement” (“Account Agreement”), which governs Your use of the SalonCentric credit card.  These Program Terms are separate from Your SalonCentric Credit Card Account Agreement (Your “Account Agreement”), which governs the use of Your Account. In the event of any conflict between these Program Terms and Your Account Agreement, these Program Terms will control in any matter relating to the Program. By using Your Account, You agree to be bound by these Program Terms. 

 

Enrollment  

 

No purchase is necessary to obtain membership in the SalonCentric ProRewards Loyalty Program.  You may enroll in the Program on the Website, through the App, with the Customer Experience Team , or through a SalonCentric Business Partner. To enroll, You must have an existing account with us and a valid, up-to-date email address. If You need to update Your email address, name, mailing address, phone number, or birthday, You may do so during enrollment. You may also enroll at participating SalonCentric stores.  Your enrollment will be confirmed with a welcome message sent to Your email address on file and will include a link to Your ProRewards enrollment information.   

 

Enrollment for SalonCentric Credit Cardmembers 

 

If You provide Your correct SalonCentric account number with Your SalonCentric Credit Card application, You will be enrolled automatically in the Program when Your SalonCentric Credit Card account is opened. If You did not provide an accurate SalonCentric account number at time of application, You may enroll in the Program in participating SalonCentric Stores, on the Website, through the App, with the Customer Experience Team , or through a SalonCentric Business Partner, or Your account will be linked once You make a purchase on Your SalonCentric credit card.  Your account must be linked before You can receive any Cardmember benefits.  If You are already a member of the Program when You open Your SalonCentric Credit Card account, Your Program membership will be linked to Your SalonCentric Credit Card account.   

 

By enrolling in Program, You agree to provide true, accurate, current, and complete information about yourself and maintain and promptly update the information to keep it true, accurate, current, and complete. If You provide any data that is untrue, inaccurate, not current, or incomplete, or if SalonCentric, in its sole discretion, suspects that Your registration data is untrue, inaccurate, or incomplete, or that You are in any way abusing Your membership in Program, SalonCentric reserves the right to suspend, terminate or refuse Your participation.  

 

Eligibility   

 

Only one ProRewards account may be associated with a single email address. In the event of a dispute over ownership of a membership account, the registration will be declared to have been made by the authorized account holder for the email address submitted at the time of enrollment. For purposes of these Terms and Conditions, the “authorized account holder” is the natural person who is assigned to the submitted email address by an internet service provider, online service provider or other organization (e.g., business, educational institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address.   

 

Earn  

 

Once You enroll in Program, You will earn one (1) Point for each one dollar ($1) spent on qualifying purchases at participating SalonCentric stores, with a SalonCentric Business Partner, and on the Website or through the App, excluding taxes and shipping, handling, delivery charges and ProRewards Dollars used (a “Qualifying Purchase”).  A Qualifying Purchase does not include: the purchase of SalonCentric gift cards, Online Exclusives, or registration fees for third-party shows and events. 

 

Points start to accumulate after enrollment.  SalonCentric will not award Points for purchases made prior to enrollment. Points cannot be earned on purchases paid with ProRewards Dollars. Points earned are based on the net value of the purchase and rounded down to whole dollar.  Example:  if the Member spends $19.99, the Member will receive 19 Points ($19.99 is rounded down to $19 x 1 point per dollar = 19 Points).  Points are automatically converted to ProRewards Dollars at the following rate: 1 point = $.01 (“ProRewards Dollars”).    

 

Points are valid for 365 days (one year) from the date they are earned and cannot be re-used, transferred, refunded, or redeemed for cash (except where required by law). Although Points are awarded after an order has shipped, the earn date is the date the order was placed. ProRewards Dollars and Points are not redeemable for cash, are not legal tender, and do not give rise to any property or other interest whatsoever.   

 

Unless otherwise stated, member account balances and Points will be communicated to You via email or accessible by logging on to Your account on  https://www.saloncentric.com/prorewards-dashboard.html.  Program Offers (as defined below) and Points will mature within 48-72 hours once Your Qualifying Purchase is made and once Your order is shipped. For non-transactional ProRewards Points earned, such Points may take longer than 72 hours to appear on a Member’s ProRewards account.  

 

Earning Points for SalonCentric Credit Cardmembers 

 

SalonCentric Credit Cardmembers earn an additional three (3) bonus Points for each one dollar ($1) spent on Qualifying Purchases (up to $20,000 in Qualifying Purchases in a calendar year) charged to the Cardmember’s SalonCentric Credit Card each billing cycle.  Bonus Points are not earned on unauthorized or fraudulent charges, charges that violate the terms of the Cardmember’s Account Agreement, interest charges, or fees of any kind.  

 

Status Tiers 

 

There are four status tiers for the Program based on the Member’s annual spend on Qualifying Purchases with SalonCentric. The tiers are, “Dreamer”, “Creator”, “Trendsetter”, and “Innovator”. At the time of enrollment, You are placed in a tier based on the previous calendar year’s spend or year-to-date spend, whichever is greater. You will move from Dreamer to Creator status when You spend at least $1,500 during the calendar year, to Trendsetter status when You spend at least $3,000 during the year, and to Innovator status when You spend at least $8,000 over the course of the year. Innovator Members cannot earn Points on Qualifying Purchases totaling more than $20,000 in any calendar year. Once You reach $20,000 in Qualifying Purchases in a calendar year, You will only earn Points on non-purchase activities through the end of the calendar year.  You will not earn base or bonus points on Purchases, Education Classes, Challenges, Promotions, or Auto Replenish shipments.   

 

You must requalify every year to maintain Your status. Calculations of annual spend on Qualifying Purchases start at zero each January 1.  

 

For example, if You enroll in September 2023 Your tier status remains active until December 31, 2023. On January 1, 2024, Your tier status will be refreshed and will be based on 2023 full calendar year spend.  

 

Anniversary rewards will be awarded for Members, during anniversary month for Members with Trendsetter Tier or higher when applicable.  Tier Achievement rewards are awarded when a Member meets tier spend threshold.  

Innovator Members are eligible for VIP pricing – savings of up to 10% off select brands. Savings are automatically calculated and reflected in the price at checkout.  SalonCentric reserves the right to change the list of select brands participating in VIP pricing at any time.  

 

Benefits  

 

Members will receive the following program benefits based on Member’s status tier. 

  • Birthday Reward 

  • Bonus Point Days (Creator Tier and above) 

  • Tier Achievement Reward (Creator Tier and above) 

  • Anniversary Reward (Trendsetter and above) 

 

Birthday rewards will be awarded during member’s birth month when applicable.  Members must have provided their birthday at the time of enrollment, or at least fifteen (15) days prior to their birthday month to qualify.

Promotional Offers  

 

SalonCentric may offer limited-time offers or may make promotional offers selectively available to Members based on purchase activity, use of a SalonCentric credit card, status tier in the Program, geographic location, Program participation, or other factors (“Bonus Offers”). Bonus Offers may provide bonus Points on qualifying behaviors, for example. From time to time, SalonCentric may also provide Bonus Offers that give Members an opportunity to earn additional Points through participation in activities such as posting reviews (up to 3 per  rolling 30 day period), providing certain account updates, participating in educational articles, etc. Points collected through methods other than Qualifying Purchases (e.g., participation in non-purchase activities or Challenges (“Challenges” are SalonCentric promotional offers or activities issued as part of the ProRewards Program not requiring Qualifying Purchases) may be limited, may vary over time and will, in each instance, be specifically disclosed in the opportunity offer.     

 

Redeem  

 

  Members may redeem available ProRewards Dollars toward purchases made via the Website or the App or for purchases at participating SalonCentric stores in any amount.  ProRewards Dollars cannot be redeemed toward Online Exclusives or purchases of shows or events through third-party vendor/fulfillment.  

 

Rewards may be combined with other discounts and promotions unless otherwise expressly stated in such discounts or promotions.  Member account balances or Points cannot be combined with another Member’s account balance or transferred to another Member’s account. SalonCentric reserves the right to limit the quantities of Bonus Offers and Points redeemed by a single Member in a given time period. ProRewards dollars, Bonus Offers, and Points can only be used by the Member.  ProRewards dollars and Points cannot be redeemed for cash or gift cards. ProRewards dollars and Points cannot be refunded, re-used, sold, or combined with another Member’s account balance or used as payment for an outstanding obligation to SalonCentric. Should ProRewards Points be redeemed in a transaction that is subsequently voided, those Points may be suspended from redemption for approximately 48 hours from the time of the voided transaction.  

 

Redeeming Points for SalonCentric Credit Cardmembers 

 

Points and ProRewards dollars may not be used to pay any outstanding balance on Your SalonCentric Credit Card Account. 

 

Returns  

 

  In the event You return a purchase for which You had received ProRewards Points, these Points will not be deducted from Your Program account; provided, however, We may deduct Points in the event We suspect fraud, abuse, or violation of these Terms and Conditions.  If We deduct Points, those Points will be deducted from Your Program account point total, based on the dollar value of the return, and may result in Your Program account going to a negative balance.  If Your Points balance goes negative, You must first earn Points to bring Your Points balance to zero before earning any Points eligible for redemption.  If You make a return where ProRewards Dollars were used in original purchase, those ProRewards Dollars/Points will NOT be returned to Your Program account because they cannot be reused.  You will, however, receive the full cash value of the ProRewards Dollars utilized in the original purchase when You make a return.  For returns purchased in part with a credit card, SalonCentric will not return to the credit card more than the amount originally charged to the card. 

 

All merchandise returns must be made in accordance with SalonCentric’s return policy, available at Return Policy.    

 

Program Modifications 

 

SalonCentric reserves the right, without limitation, to change the benefits and the number of Points awarded for purchases, or to terminate, change, limit, modify or cancel the Program, with or without notice, subject to applicable law. For example, SalonCentric reserves the right to change the Qualifying Purchases and/or the number of Points awarded per dollar spent or the other activities described above at any time during the Program. SalonCentric further reserves the right to change, add, or remove the methods by which Members can earn Points. SalonCentric reserves the right to modify the Point values for redeeming Points at any time for any reason. If the value for redeeming Points for ProRewards Dollars toward a purchase is reduced – e.g., more Points required for $1 off – Members will receive notice of such change at least 30 days before it is implemented. 

 

Notice of Financial Incentive  

 

In connection with the ProRewards Program, SalonCentric may offer financial incentives and/or price or service differences (“Incentives”) to Members based on points earned as further described in these Terms, in exchange for Our use of Your personal information.  

 

To offer these Incentives, SalonCentric tracks the personal information You provide when You sign up or engage in activities to earn rewards, such as name, email address, telephone number, purchase history, date of birth, participation in SalonCentric events, and engagement with SalonCentric as described in these Terms and Conditions (“ProRewards Data”).  

 

The value of ProRewards Data is calculated by determining the approximate additional spending per Member, per year compared to the annual spending of individuals who are not yet enrolled in the Program.  The value of ProRewards Data is reasonably related to the costs associated with offering the Incentives.  You can join ProRewards on the Website, on the App, in a SalonCentric store, or by contacting SalonCentric Customer Support. You can withdraw from or cancel Your membership at any time by contacting SalonCentric Customer Support toll-free at 1-877-250-9215.  For more information, please review Our Privacy Policy.  

 

Member Unenrollment & Suspension  

 

You must comply with these Terms and Conditions.  Without limiting any other remedies, SalonCentric reserves the right to suspend You or permanently disable Your account. Your participation in the Program may be paused for fraud investigation. You will not continue to earn Points on Qualifying Purchases while Your account is paused; and You will be unable to earn Points through means other than purchases. Additionally, You may not redeem Points unless and until Your account is returned to active status.  Your participation in the Program can be terminated (and, therefore, the related benefits cancelled) for any of the following reasons:   

 

  • Member requests termination of their participation in the Program;  

  • Member is deceased;  

  • Member fails to respond to repeated attempts by SalonCentric to contact them regarding the status of their account;  

  • Member relocates to a jurisdiction outside of the stated eligibility;  

  • The account appears to be duplicative; 

  • In the event of fraud, attempted fraud or theft by the Member in any SalonCentric Store; 

  • In the event of abnormally high number of transactions of purchases made on the same day and/ or consecutive days;  

  • In case of default of payment which has not been remedied by the ProRewards Member within one (1) month following the notification from SalonCentric in this respect; or  

  • Member’s noncompliance with these Terms.  

 

The prior list of cancellation reasons are exemplars of reasons for which a Member’s account may be cancelled or suspended.  SalonCentric reserves the right in their sole discretion to cancel or suspend a Member’s account for other reasons upon written notice to the Member.  

 

SalonCentric shall be the sole arbiter in cases of suspected fraud or violations of these Terms and Conditions, and any decision it makes relating to termination a Member’s account shall be final and binding. If a Member’s participation in the Program is terminated, the Member will forfeit all Points accrued to date. In such a case the Member will not be entitled to any compensation whatsoever. Additionally, SalonCentric is entitled to invoke any rights or remedies available to SalonCentric in law or equity against Member. The Member agrees that SalonCentric is not liable to the Member or any third party for any termination or suspension of Your account or for blocking of the Member’s use of SalonCentric’s Program. 

 

If after termination the Member is permitted by SalonCentric to re-enroll in the Program, such re-enrollment shall require opting into the Terms and Conditions as of the date of the new account. Member will have zero (0) Points at the time of re-engagement, regardless of how many Points the Member may have accumulated prior to termination. 

 

If a Member requests termination in the Program or terminates their account with SalonCentric, Member will forfeit all Points accrued to date.  If Member decides to re-enroll into Program, Member’s account will reset to zero. 

 

For SalonCentric Credit Cardmembers, closing a Member’s credit card account will not cancel the Member’s participation in the Program. 

 

Privacy  

 

Your privacy is important to us. Enrollment information collected by the ProRewards is subject to SalonCentric Privacy Policy.  

 

Communications and Reviewing Your Account Information 

 

As a Member, Members will periodically receive emails from SalonCentric. Members may opt–out of the marketing emails at any time, but transactional, relationship, and operational emails will still be sent to You as it relates to Your membership in ProRewards. Examples of these are: ProRewards welcome email, a ProRewards monthly account statement email, or other communications that help SalonCentric to ensure that a Members’ account is monitored.  For SalonCentric Credit Cardmembers, updating Member contact information for the Program will not update any contact information associated with Your SalonCentric Credit Card account on file with Comenity Capital Bank.   

 

Limitation on Liability  

 

UNDER NO CIRCUMSTANCES, INCLUDING, BUT NOT LIMITED TO, CLAIMS OF TORT LIABILITY (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, BREACH OF WARRANTY, STRICT LIABILITY, OR ANY OTHER THEORY, SHALL ANY OF SALONCENTRIC, SALONCENTRIC, INC., ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND THEIR PROMOTION AGENCIES (“RELEASED PARTIES”) BE LIABLE FOR ANY LOST PROFITS OR FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, COMPENSATORY OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE PROGRAM OR MERCHANDISE OFFERED THROUGH THE PROREWARDS, EVEN IF ANY OR ALL OF THE FOREGOING OR ANY OF THEIR AUTHORIZED REPRESENTATIVES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IF SALONCENTRIC IMPROPERLY DENIES A MEMBER ANY POINTS, LIABILITY WILL BE LIMITED TO THE EQUIVALENT NUMBER OF POINTS. BY PARTICIPATING IN THE PROREWARDS, A MEMBER WAIVES ANY AND ALL RIGHTS TO BRING ANY CLAIM OR ACTION RELATED TO SUCH MATTERS IN ANY FORUM BEYOND ONE YEAR AFTER THE FIRST OCCURRENCE OF THE KIND OF ACT, EVENT, CONDITION, OR OMISSION UPON WHICH THE CLAIM OR ACTION IS BASED.  

 

By participating in ProRewards, each member hereby releases the Released Parties from and against any and all claims, damages, losses, liabilities, and other expenses (including, without limitation, attorney’s fees) relating to that Member’s participation in ProRewards, use of Points or rewards, or agreement to these ProRewards terms and conditions. SalonCentric is not responsible for requests or correspondence lost or delayed in the mail.  

 

The Program may allow various ways to authenticate and identify a Member. SalonCentric recommends that Member utilize two-factor authentication or other security enhancement mechanisms made available. Under no circumstances will SalonCentric have any liability for Member’s failure to use or weakness in the authentication and identification mechanisms available to secure Member’s account. 

 

Arbitration Agreement  

 

YOU AGREE TO GIVE UP ANY RIGHTS TO LITIGATE CLAIMS IN A COURT OR BEFORE A JURY OR TO PARTICIPATE IN A CLASS ACTION OR REPRESENTATIVE ACTION WITH RESPECT TO A CLAIM. OTHER RIGHTS THAT YOU WOULD HAVE IF YOU WENT TO COURT, SUCH AS ACCESS TO DISCOVERY, ALSO MAY BE UNAVAILABLE OR LIMITED IN ARBITRATION.  

 

Mindful of the high cost of legal disputes, not only in dollars but also in time and energy, both You and the Released Parties agree that any controversy, claim, action, or dispute between You and the Released Parties arising from or relating to the Program (“Dispute”), will be resolved by this dispute resolution procedure and arbitration agreement (“Arbitration Agreement”).  

 

Informal Dispute Resolution. Prior to initiating any arbitration, You must first present any Dispute to SalonCentric by contacting the SalonCentric Customer Support at Our toll-free number 1-877-250-9215 to allow for an opportunity to resolve the Dispute. You or We may initiate arbitration if Your Dispute cannot be resolved within 60 days. Both You and SalonCentric, Inc. agree that this dispute resolution procedure is a condition precedent which must be satisfied prior to initiating any arbitration or filing any claim against the other party.  

 

Right to Bring Small Claims in Court. Instead of arbitration, either You or SalonCentric, Inc. may bring any individual claim in small claims court consistent with the jurisdictional and dollar limits that may apply, as long as it is brought and maintained as an individual claim.  

 

How Arbitration Works. Arbitration is less formal than a lawsuit in court and is generally more expedient and cost effective. Arbitration uses a neutral arbitrator, NOT a judge or jury, for a final and binding decision. Arbitration may allow for more limited discovery than in court and can be subject to very limited review by courts. Arbitrators can award the same damages and relief that a court can award and must honor the terms and conditions in this Arbitration Agreement. The result of an arbitration is confidential. This agreement to arbitrate disputes includes all claims arising out of or in any way related to this Agreement, whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory, and regardless of when a claim arises. Either party may initiate arbitration, which shall be conducted by the American Arbitration Association (“AAA”) pursuant to its Consumer Arbitration Rules (“AAA Rules”), as modified by this Arbitration Agreement. The AAA Rules are available on the AAA’s website www.adr.org, or by calling the AAA at (800) 778-7879. In the event the AAA is unavailable or unwilling to hear the Dispute, the parties shall agree to another arbitration provider. Payment of all filing, administration and arbitrator fees will be governed by the AAA’s applicable rules. SalonCentric will reimburse those fees in an amount up to $10,000. SalonCentric, Inc. also waives its own right to seek attorneys’ fees and costs in arbitration. You may choose to have the arbitration conducted by telephone, based on written submissions, or in person in the county where You live or at another mutually agreed location.  

 

Waiver of Right to Bring Class Actions and Representative Claims. All arbitrations shall proceed on an individual basis. The arbitrator is empowered to resolve the Dispute with the same remedies available in court, however, any relief must be individualized to You and shall not affect any other customer. You and SalonCentric, Inc. agree that each may bring claims against the other in arbitration only in Your or their respective individual capacities and in so doing You and SalonCentric, Inc. hereby waive the right to a trial by jury, to assert or participate in a class action lawsuit or class action arbitration (either as a named-plaintiff or class member), and to assert or participate in any joint or consolidated lawsuit or joint or consolidated arbitration of any kind. If a court decides that applicable law precludes enforcement of any of this paragraph’s limitations as to a particular cause of action, then that cause of action (and only that cause of action) must remain in court and be severed from any arbitration.  

 

Other Terms. This Arbitration Agreement shall be governed by, and interpreted, construed, and enforced in accordance with the Federal Arbitration Act and, where applicable, the law of the State of New York. The terms of the Arbitration Agreement provisions shall survive after Your relationship with SalonCentric, Inc. and/or participation in the ProRewards ends. Any arbitration will be confidential, and neither You nor We may disclose the existence, content or results of any arbitration, except as may be required by law or for purposes of enforcement of the arbitration award. Judgment on any arbitration award may be entered in any court having proper jurisdiction. Except as set forth above, if any portion of this Arbitration Agreement is deemed invalid or unenforceable, it will not invalidate the remaining portions of the Arbitration Agreement.  

 

General Conditions and Exclusions 

 

  • Member account Points balances are not valid unless earned in strict compliance with the requirements set forth and intended by SalonCentric, and Member shall not attempt to earn points by any means (including without limitation, by using any script, bot, data mine, or other automated means) that only simulates applicable requirements; 

  • By enrolling in the Program, You agree not to (a) take any action or (b) upload, post, submit or otherwise distribute or facilitate distribution of any User Content (including text, communications, software, photographs, videos, sound recordings, data or other information) using any communications service, discussion forum, or other feature available on or through the Program, in any manner, that is unlawful, deceptive, misleading, fraudulent, threatening, abusive, harassing, libelous, invasive of another’s privacy, tortious, obscene, profane, infringes on any patent, trademark, trade secret, copyright, right of publicity, right of privacy, any other right of any party or which otherwise violates the SalonCentric Terms of Use or any Other Agreement;  

  • You further agree not to (a) upload any content that imposes an unreasonable or disproportionately large load on SalonCentric computing, storage or communications infrastructure, or attempts to gain unauthorized access to the Service, other accounts, computer systems or networks connected to the Service, through password mining or otherwise; (b) contains software viruses or any other computer codes, files, or ProRewards that are designed or intended to disrupt, damage, limit or interfere with the proper function of any software, hardware or network system or to damage or obtain unauthorized access to any system, data or other information of SalonCentric, or any third party; (c) creates Member accounts by any automated means or under false pretenses or impersonates any person or entity, including an employee or representative of SalonCentric; (d) harvests, scrapes or collects any information from www.saloncentric.com.  

  • SalonCentric is not responsible for problems related to any of the equipment or programming associated with or utilized by the member; any human error; any interruption, deletion, omission, defect or failure of any network or electronic transmission for whatever reason.  

 

These Terms (including any additional terms or policies incorporated by reference) constitute the entire agreement of the parties with respect to the subject matter hereof and supersede all previous written or oral agreements with respect to the Program. This Program and these Terms will be governed by and construed under the substantive laws of the State of New York, without reference to conflict-of-laws considerations.
